Acceptance of Terms
By accessing or using the website changzheng.lol and the services provided by Heze Changzheng Network Technology Co., Ltd. (Chang Zheng, we, us, or our), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our website or services. These terms apply to all visitors, users, clients, and others who access or use our services. Additional contractual terms may apply to specific service engagements and will be documented in separate service agreements signed by both parties. |

Definitions
Services refers to computer systems design, integration, architecture consulting, network engineering, security compliance, and related professional services offered by Chang Zheng. Client refers to any individual or entity that engages Chang Zheng for Services under a separate service agreement or statement of work. Website refers to changzheng.lol and any associated subdomains or redirects. Content includes all text, graphics, images, code, documentation, system designs, architecture blueprints, and other materials produced by Chang Zheng in the course of providing Services. |

Services Scope
Chang Zheng provides computer systems design and integration services as described on our website and in individual service agreements. The specific scope, deliverables, timelines, and fees for each engagement are defined in a written service agreement executed by both parties. We reserve the right to refuse service to any individual or entity for any lawful reason. Services are provided on a commercial basis and are not intended for consumer or personal use. |

Intellectual Property
All intellectual property rights in the deliverables created specifically for a Client under a paid service agreement are transferred to the Client upon full payment, unless otherwise specified in the service agreement. Chang Zheng retains the right to use general knowledge, skills, and experience gained during the engagement for future projects, provided no confidential information is disclosed. All intellectual property rights in our website, underlying technology, pre-existing tools, frameworks, methodologies, and proprietary software remain the exclusive property of Chang Zheng. Nothing in these terms grants you any license or right to use our intellectual property except as explicitly stated. |

Client Obligations
Clients agree to provide timely access to necessary personnel, systems, information, and facilities required for the performance of Services. Clients represent that they have all necessary rights and permissions to share any data, systems, or materials provided to Chang Zheng for project purposes. Clients are responsible for maintaining the confidentiality of any account credentials or access credentials provided for service delivery and must notify us immediately of any unauthorized use. |

Fees and Payment
Service fees are specified in individual service agreements or statements of work. Invoices are due within thirty days of the invoice date unless otherwise agreed. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. All fees are exclusive of applicable taxes, duties, or levies, which are the responsibility of the Client. Chang Zheng reserves the right to suspend Services for accounts that are more than thirty days past due. |

Confidentiality
Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of a service engagement. Confidential information includes but is not limited to business plans, system architectures, source code, network configurations, security assessments, financial data, and client lists. Confidentiality obligations survive the termination of any service agreement for a period of five years. Confidential information does not include information that is publicly available through no fault of the receiving party, was known prior to disclosure, or is independently developed without use of confidential information. |

Limitation of Liability
To the maximum extent permitted by applicable law, Chang Zheng’s total liability arising from or related to these Terms or any service engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. In no event shall Chang Zheng be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill. This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, even if Chang Zheng has been advised of the possibility of such damages. |

Warranties and Disclaimer
Chang Zheng warrants that Services will be performed in a professional and workmanlike manner in accordance with industry standards. Our sole obligation and your exclusive remedy for breach of this warranty is re-performance of the deficient Services or a refund of fees paid for the deficient portion. Except as expressly stated herein, all Services and deliverables are provided as is without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Services will be uninterrupted or error-free. |

Indemnification
Clients agree to indemnify, defend, and hold harmless Chang Zheng, its officers, employees, and contractors from and against any claims, damages, losses, liabilities, and expenses arising from or relating to: the Client’s use of Services in violation of these Terms; the Client’s violation of any applicable law or regulation; or any claim that Client’s data or materials provided to us infringe third-party rights. |

Termination
Either party may terminate a service agreement in accordance with the termination provisions set forth in that agreement. In the absence of such provisions, either party may terminate for material breach upon thirty days written notice if the breach remains uncured. Chang Zheng may terminate any agreement immediately if the Client fails to make timely payment or engages in conduct that damages our reputation or business. Upon termination, the Client must pay all fees due for Services performed up to the date of termination. Sections related to intellectual property, confidentiality, limitation of liability, and indemnification survive termination. |

Website Use
You agree not to use our website for any unlawful purpose or in violation of these Terms. Prohibited activities include: attempting to gain unauthorized access to our systems; introducing malware, viruses, or harmful code; scraping, data mining, or harvesting content; interfering with the website’s operation; or impersonating any person or entity. We reserve the right to restrict or terminate access to our website at any time for any reason without notice. |

Governing Law and Dispute Resolution
These Terms and any service agreements shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law provisions. Any disputes arising from these Terms shall first be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved within thirty days, it shall be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission in Beijing. Notwithstanding the foregoing, Chang Zheng may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. |

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date.
